1. Acceptance of terms
By using Member Technologies' website or services, you agree to be legally bound by these Terms, our Privacy Policy, and any other agreement we may present to you at the time of purchase or onboarding. If you do not agree with any part of these Terms, you must immediately stop using our services.
You represent and warrant that you have the legal capacity to enter into this agreement — that you are at least 18 years old, or using our services under the supervision of a parent or legal guardian.
2. About us
Member Technologies is a technology company headquartered in Makurdi, Benue State, Nigeria, delivering digital solutions to businesses and families across Nigeria and beyond. We are registered in Nigeria under RC-9485926.
Throughout these Terms, "we", "us" and "our" refer to Member Technologies; "you" and "your" refer to the individual or organisation accessing our services.
3. Our services
Member Technologies provides a broad range of professional digital services, including but not limited to:
- Website design, development, hosting and maintenance
- Mobile and desktop application development
- UI/UX design and product design
- Domain registration, email hosting and cloud services
- Cybersecurity audits, penetration testing and security consulting
- Solar energy system design, supply and installation
- IT consultancy and digital transformation advisory
- Training, mentorship and internship programmes
All services are subject to availability, scheduling and our acceptance of your order. Where a service requires a quotation, no binding contract is created until we accept your signed quotation and receive any applicable deposit.
Service descriptions, images and pricing on this website are for illustration. Actual deliverables, timelines and prices are confirmed in your formal quotation or invoice.
4. User accounts
To access certain features (customer dashboard, order tracking, applications), you must create an account. You agree to:
- Provide accurate, complete and up-to-date information at all times.
- Keep your password confidential and never share it with anyone.
- Promptly notify us of any unauthorised use of your account.
- Take full responsibility for all activity that occurs under your account.
- Not impersonate any other person or entity, or use a name you are not legally permitted to use.
We may suspend or terminate any account that violates these Terms, or that we reasonably suspect of fraud, abuse or security risk.
Two-Factor Authentication: We strongly recommend enabling 2FA on your account. You can do this from your profile security settings.
5. Intellectual property
All content on this website — including text, graphics, logos, images, source code, software and the design of the site itself — is our property or the property of our licensors and is protected by copyright and other intellectual property laws of Nigeria and international treaties.
For client projects, ownership of the final deliverables transfers to you upon full payment. We retain ownership of our underlying frameworks, tools, libraries, internal code, and any reusable components.
Nothing in these Terms grants you the right to redistribute or resell our internal assets, brand, or any content bearing our trademarks without our prior written consent.
6. Payments & refunds
All prices shown are in Nigerian Naira (₦) and are inclusive of any applicable taxes unless stated otherwise. Payments for shop orders are collected through Paystack (card, bank transfer, USSD, QR). Service invoices are payable by bank transfer or Paystack as specified on the invoice.
Payment terms
- Shop orders: Payment due at checkout, unless part-payment or pay-on-delivery options are enabled on your account.
- Service projects: Typically 40% deposit, 40% at delivery, 20% on final acceptance. Terms are confirmed in the invoice.
- Solar installations: Deposit required before procurement; balance due on commissioning.
Refund policy
Digital goods and custom projects are non-refundable once work has begun, unless we fail to deliver the agreed scope. Physical goods may be returned within 7 days if unused and in original packaging. Refunds on services are at our discretion and always assessed case by case.
Approved refunds are processed back to the original payment method within 5–10 business days.
7. Delivery & shipping
We currently deliver physical products within Nigeria only. International buyers are responsible for arranging and paying for freight from our designated Nigerian port of exit.
- Delivery fees are calculated based on total order weight and delivery destination, and are shown at checkout.
- Delivery timelines are estimates only. While we make every effort to meet them, we are not liable for delays caused by third-party couriers, weather, traffic, or events beyond our control.
- Risk of loss passes to you upon delivery to the address you provided. Please inspect your delivery before signing the courier's receipt.
- Incorrect addresses provided by you may result in additional delivery charges or failed delivery.
8. Service level
For hosting and website-maintenance services, we target a 99.9% uptime in any calendar month. Uptime excludes:
- Scheduled maintenance windows (we notify you in advance).
- Downtime caused by third parties (registrars, DNS providers, internet outages).
- Events beyond our reasonable control — including force majeure.
- Customer-caused issues (e.g. code changes on your side, exhausted storage).
9. Limitation of liability
To the maximum extent permitted by law, Member Technologies shall not be liable for any indirect, incidental, special, consequential or punitive damages — including loss of profits, data, business opportunity or goodwill — arising from your use of, or inability to use, our services.
Our total aggregate liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount you actually paid us for the specific service that gave rise to the claim, in the six (6) months preceding the event.
This limitation does not exclude liability that cannot be excluded under Nigerian law — including for fraud, gross negligence, or death/personal injury caused by our negligence.
10. Indemnification
You agree to indemnify and hold harmless Member Technologies, its officers, directors, employees and agents from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of:
- Your breach of these Terms.
- Your violation of any third-party right (including intellectual property).
- Content you upload, submit or transmit through our platform.
- Any misuse of your account credentials by a person acting with your authorisation.
11. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason — including without limitation if you breach these Terms.
Upon termination, your right to use the services ceases immediately. You remain responsible for any amounts owed for services already rendered. Clauses that by their nature should survive termination (intellectual property, liability, indemnification, governing law) shall survive.
12. Governing law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law provisions.
Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Benue State, Nigeria. We encourage you to contact us first — most issues are resolved amicably.
13. Changes to terms
We reserve the right to modify these Terms at any time. Your continued use of our services after any change constitutes acceptance of the updated Terms. If a change is material, we will make reasonable efforts to notify you by email or through the site.
It is your responsibility to review these Terms periodically. The "Last updated" date at the top of this page reflects the most recent revision.
